1. Introduction

Welcome to Up4adate — a platform designed for spontaneous, real-world invitations.

These Terms of Use ("Terms" or "Agreement") form a legally binding agreement between you and Up4adate Inc. ("Up4adate," "we," "us," or "our"). By downloading, accessing, or using any part of our services — including our website, mobile applications, user-facing features, communication systems, invite tools, payment functionality, and any related offerings (collectively, the "Service") — you confirm that you have read, understood, and agreed to be bound by these Terms.

These Terms incorporate and work in conjunction with our Privacy Policy, our Consumer Health Data Privacy Policy, the CCPA Addendum (for California residents), and any additional guidelines, notices, or rules we publish in connection with the Service. All are collectively referred to as the "Agreement."

If you do not agree to the Agreement in its entirety, do not use or access the Service.

Up4adate is not a traditional dating platform. We do not offer swiping, algorithmic matching, or compatibility scoring. Instead, our Service enables users to discover curated local venues and invite others to meet in person quickly and safely. We emphasize user responsibility, verified identity, and offline-first connection. We do not guarantee specific outcomes, and user discretion is strongly advised.

2. Eligibility

You must be at least 18 years old to use Up4adate.

By accessing or registering for the Service, you represent and warrant that all of the following are true and will remain true while using the platform:

  • You are at least 18 years of age;

  • You are an individual acting in a personal capacity (not on behalf of any company or organization);

  • You are legally capable of entering into a binding agreement;

  • You are not located in a jurisdiction that prohibits the use of services like ours;

  • You have not been convicted of, pled no contest to, or are currently under investigation for any violent, sexual, or fraudulent offense;

  • You are not required to register as a sex offender with any state, federal, or international authority;

  • You have not been previously banned or suspended from Up4adate or any affiliated platform unless explicitly authorized in writing to rejoin;

  • You will create and maintain only one account and use it for personal, non-commercial purposes;

  • You will comply with all applicable laws, regulations, and platform policies.

We reserve the right to verify eligibility at any time and to suspend or terminate access to any user who is found to be in violation of these terms. We also reserve the right to deny access to the Service for safety, integrity, or compliance reasons.

3. Account Creation and Security

To access certain features of the Service, you must register and create an account. You agree to:

  • Provide accurate, current, and complete information;

  • Keep your credentials secure and confidential;

  • Promptly update any information that changes;

  • Take full responsibility for all activity under your account.

We may require identity verification during registration or at any point thereafter. This may include verification of your phone number, email address, and, in some cases, a short video or biometric input to help confirm your identity.

Verification processes are conducted entirely through in-app flows and are managed internally by Up4adate. We do not use any third-party services for identity verification. This data is never used for commercial profiling and is retained only for as long as necessary to maintain platform safety and compliance.

Submitting fraudulent or misleading information, or attempting to bypass verification steps, may result in temporary suspension or permanent ban.



4. Nature of the Service

Up4adate is a mobile-first platform that enables users to quickly and safely plan real-world meetups — without the need for endless messaging or traditional profile matching. Unlike conventional dating apps that rely on swipes, algorithms, or compatibility scores, Up4adate focuses on in-person experiences and local venue-based invitations.

Users explore curated public venues — such as restaurants, cafes, and bars — and can send spontaneous, time-sensitive invites to other verified users in the area. The invite is venue-specific and can include the date, time, and optional message. This structure allows for simplified logistics and reduced friction in planning an actual meetup.

There is no swiping mechanism, no gamified matching, and no artificial queues. The goal is to shift digital connection toward offline experience — and minimize the time spent chatting in favor of real interaction.

Up4adate does not guarantee any outcome, relationship, or compatibility. All user interactions are voluntary. Users are solely responsible for deciding whether to accept or respond to invitations. Up4adate does not facilitate or mediate arrangements between users beyond enabling the invitation mechanism.

You acknowledge and agree that Up4adate is not responsible for:

  • The success or outcome of any invite or meeting;

  • The behavior or conduct of any other user, whether online or offline;

  • Any injury, loss, dispute, or event arising from a real-world meetup.

We encourage users to review our Safety Tips — a standalone resource available on our website and in-app — for best practices on staying safe before, during, and after a meetup. This includes guidance on meeting in public, verifying identity, setting expectations, and emergency protocols. We also urge you to report any misuse, inappropriate conduct, or suspicious activity through the in-app reporting features, which are monitored and acted on promptly by our safety team.

5. User Conduct

To foster a respectful, safe, and authentic environment, all users of Up4adate agree to follow these behavioral expectations. By using the Service, you agree that you will NOT:

  • Harass, stalk, threaten, abuse, or intimidate others — whether online or offline.

  • Engage in any form of hate speech, discrimination, or targeted abuse based on race, ethnicity, gender, religion, nationality, disability, sexual orientation, or appearance.

  • Post or send content that is sexually explicit, violent, defamatory, obscene, fraudulent, or otherwise unlawful.

  • Use the Service for commercial purposes without express authorization, including advertising, solicitation, or promotion of products, services, or events.

  • Impersonate any person or entity, or misrepresent your identity, affiliation, or intentions.

  • Use bots, automation tools, scrapers, or exploit vulnerabilities to manipulate the platform or other users.

  • Attempt to collect or misuse data from other users, including personal, financial, or contact information.

  • Use the Service for any illegal activity, including trafficking, prostitution, harassment, or coordinated fraud.

  • Disrupt, overload, or interfere with the integrity or performance of the Service, servers, or networks.

  • Encourage or promote self-harm, suicide, eating disorders, or any behavior that may endanger the wellbeing of others.

We reserve the right to investigate and take any action we deem appropriate — including warnings, account suspension, or permanent removal — in response to conduct that violates these Terms or our values.

We may also cooperate with law enforcement if user conduct poses a real-world risk to public safety or individual wellbeing.

If you witness or experience behavior that violates these standards, please report it immediately through the in-app reporting system or by contacting our team at app@up4adate.com.

6. Content and Intellectual Property

Up4adate enables users to upload content — such as photos, videos, profile information, messages, and feedback — while also providing original platform content. The rights and responsibilities regarding all content are outlined below.

a. Your Content

You retain ownership of all content you create and upload to the Service (“Your Content”). However, by submitting Your Content, you grant Up4adate a non-exclusive, royalty-free, worldwide, transferable, sub-licensable license to host, use, reproduce, display, distribute, and adapt Your Content for the purposes of operating, promoting, improving, and securing the Service.

You represent and warrant that:

  • You own or have the right to upload Your Content;

  • It does not violate any third-party rights (including intellectual property, publicity, or privacy rights);

  • It complies with these Terms and all applicable laws.

You are solely responsible for Your Content. We may, but are not obligated to, review, remove, or restrict content that violates our Terms or policies.

b. Member Content

Content submitted by other users (“Member Content”) is their responsibility. You may not use, distribute, reproduce, or exploit Member Content outside of Up4adate without the explicit permission of the content owner.

You understand that Member Content may not always be accurate or appropriate, and you use it at your own risk. We do not endorse or guarantee the accuracy or safety of any Member Content.

c. Platform Content and Intellectual Property

All non-user-generated aspects of the Service — including its codebase, interface, logos, trademarks, visual elements, data structure, and design — are the intellectual property of Up4adate Inc. and are protected under U.S. and international copyright, trademark, and trade secret laws.

You may not:

  • Copy, modify, reproduce, distribute, or create derivative works of the Service or any of its elements;

  • Use any automated system to scrape, index, or mine data from the platform;

  • Use our branding or likeness for commercial or promotional purposes without prior written permission.

d. AI-Generated Content and Moderation Tools

Up4adate may use automated tools, including AI-based moderation systems, to help:

  • Identify potentially harmful, fraudulent, or policy-violating content;

  • Detect behavioral patterns that may suggest abuse, spam, or deceptive conduct;

  • Offer users optional content enhancements (e.g., prompt completion, formatting suggestions, or onboarding support).

These tools are used to support human moderators, improve platform safety, and enhance overall experience. However:

Disclaimer: While we strive to ensure accuracy, AI tools may produce false positives or overlook harmful content. They may also reflect limitations or biases present in training data. Automated tools are not a substitute for human judgment and are always used under review systems with clear escalation protocols.

AI is not used to impersonate users or to generate fake profiles or responses. All public-facing content must originate from real users.

Up4adate retains full discretion to override or disable AI recommendations at any time.

7. In-App Purchases and Subscriptions

Up4adate offers optional premium features and services through one-time purchases, recurring subscriptions, and earned or gifted date credits (collectively, “Paid Services”).

a. Payment Processing

All purchases are processed securely through authorized third-party platforms such as the Apple App Store, Google Play, or via our web platform. By making a purchase, you agree to the applicable terms of your payment provider, including subscription billing rules, refund eligibility, and cancellation policies.

You authorize Up4adate (or our payment processors) to charge your selected payment method for all applicable fees.

b. Auto-Renewal and Cancellation

If you purchase a subscription:

  • Your subscription will automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date.

  • You may cancel at any time through your Apple ID, Google Play account, or web portal settings. Deleting the app does not cancel a subscription.

  • Upon cancellation, you will retain access to the Paid Service for the remainder of your billing period. No refunds are issued for unused time, except where required by law.

c. Date Credits and Virtual Offers

Up4adate may offer promotional or earned date credits redeemable for in-app services. Unless otherwise stated:

  • Date credits have no cash value and are not transferable or refundable.

  • We may limit, suspend, or terminate credits at any time.

  • Expiration or redemption terms may apply and will be clearly disclosed in-app.

We do not currently offer or support the resale or external transfer of any in-app assets.

d. Taxes and Fees

Prices shown may not include applicable sales tax, VAT, or regulatory fees. Where required by law, these amounts will be added to your total and clearly disclosed before payment.

e. Refunds and Chargebacks

All purchases are final and non-refundable, except as required by law or in accordance with the refund policy of the platform through which the purchase was made.

  • If you purchased via Apple, contact Apple Support for all refund requests.

  • If you purchased via Google Play, you may request a refund through the Play Store.

  • For direct website purchases, you may contact us at privacy@up4adate.com with your order ID and cancellation reason.

Initiating a chargeback or payment dispute may result in account suspension or termination, unless resolved in good faith.

8. Suspension and Termination

We reserve the right to suspend, restrict, or permanently terminate your access to the Service at any time, with or without notice, if we determine, in our sole discretion, that:

  • You have violated these Terms, any related policy, or applicable law;

  • You have submitted false or misleading information, including during registration or verification;

  • You have engaged in conduct that is abusive, harmful, threatening, or harassing to others, either online or offline;

  • You have misused the Service, attempted to manipulate the platform, or engaged in fraud, spam, or automated activity;

  • Your actions pose a risk to the safety, trust, or operational integrity of the platform or its users;

  • We are required to do so by law, court order, or regulatory action.

a. Immediate Action

We may, at any time and without prior notice:

  • Suspend access to certain features or the entire Service;

  • Disable your ability to send or receive invites;

  • Remove any content associated with your account;

  • Conduct internal reviews or investigations prior to reinstatement.

We are not obligated to disclose the specific reasons for suspension or termination if doing so would compromise user safety, violate legal constraints, or expose proprietary platform integrity tools.

b. Your Right to Terminate

You may delete your account at any time through your in-app settings or by contacting us directly. Please note:

  • Account deletion does not automatically cancel subscriptions — those must be managed through your payment provider (e.g., Apple, Google).

  • Once deleted, your profile, invites, and activity history may no longer be recoverable.

  • We may retain limited information as required for legal, safety, or compliance reasons as outlined in our Privacy Policy.

c. Post-Termination Effect

Upon termination of your access, the following will apply:

  • All licenses and rights granted to you under these Terms will cease immediately;

  • You may no longer access the Service or any related data unless required by law;

  • We are not liable for any loss, content deletion, or missed opportunities due to the termination.

We reserve the right to refuse reactivation or prevent the creation of new accounts by users previously suspended or banned.

d. Right to Appeal

If you believe your account was suspended or terminated in error, you may request a review by submitting a written appeal to privacy@up4adate.com within 14 calendar days of receiving notice.

Your appeal must include:

  • Your registered email address or phone number;

  • A brief explanation of why you believe the action was a mistake;

  • Any supporting information or clarification.

We may, but are not obligated to, reinstate access. Appeals are reviewed in good faith, but final decisions are made at our sole discretion and are not subject to further challenge.



9. Disclaimers

The Service is provided “as is” and “as available.” Up4adate makes no guarantees about user behavior, outcomes, or compatibility, and we disclaim any liability for real-world events resulting from use of the platform.

To the maximum extent permitted by law, you acknowledge and agree that:

  • We do not screen or guarantee user behavior, identity, or intent. Use of the Service is at your own discretion and risk.

  • We are not responsible for the conduct of any user on or off the platform, including actions taken during or after a real-world meetup.

  • We do not guarantee that invitations will be sent, received, accepted, or lead to any specific result (including a meeting, relationship, business interaction, or friendship).

  • We do not guarantee uninterrupted or error-free functionality of the Service, nor that it will be free of harmful code, viruses, or unauthorized access attempts.

  • We are not liable for missed connections, declined invites, failed plans, or communication issues. The Service is a facilitation tool — not a mediator, scheduler, or participant.

  • We are not responsible for venue-related issues. All venues are managed by independent businesses. Up4adate does not own or operate any locations, and is not liable for reservations, service quality, food safety, access, pricing, or experience.

No advice or information, whether oral or written, obtained from Up4adate or through the Service shall create any warranty not expressly stated in these Terms.

Some jurisdictions do not allow the exclusion of certain warranties or disclaimers. In such cases, the limitations above may not apply to you to the full extent permitted by law.

We do not provide legal, medical, therapeutic, psychological, or relationship advice. Any content, messaging, or prompts on Up4adate are for general information only and are not a substitute for professional guidance.

AI and Emotional Safety Disclaimer

Up4adate may use automated tools, including AI-based moderation systems, to assist in identifying potential violations, harmful content, or unusual user behavior. These tools are designed to enhance platform safety — not to replace human judgment or guarantee user intent or emotional safety.

By using the Service, you acknowledge and agree that:

  • AI systems may occasionally misidentify or overlook harmful content or behavior.

  • Emotional responses, tone, or intent are inherently subjective and may be misread by either human users or automated systems.

  • Up4adate does not guarantee protection from emotional harm, disappointment, miscommunication, or discomfort resulting from interactions on or off the platform.

  • Users are expected to exercise caution, communicate clearly, and disengage from any conversation or invitation that makes them uncomfortable.

Up4adate provides reporting tools and community guidelines to support emotional safety, but we cannot control or prevent all user behavior or interpersonal outcomes.

If you are experiencing distress or require immediate support, we encourage you to seek professional help or contact local crisis resources.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT YOUR USE OF THE SERVICE IS SOLELY AT YOUR OWN RISK, AND UP4ADATE SHALL NOT BE LIABLE FOR ANY EMOTIONAL, RELATIONAL, FINANCIAL, REPUTATIONAL, OR PHYSICAL OUTCOME RESULTING FROM YOUR USE OF THE PLATFORM.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Up4adate Inc. and its officers, directors, employees, agents, partners, licensors, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of:

  • Profits or revenue

  • Data or content

  • Goodwill or reputation

  • Business opportunity

  • Emotional wellbeing

  • Time, travel, or personal expense

  • Real-world interaction outcomes (including meetings, dates, or disputes)

arising out of or in connection with:

  • Your access to or use of (or inability to access or use) the Service;

  • The conduct or content of other users (on or off the platform);

  • Any third-party services or venues recommended, linked, or accessed via the Service;

  • System outages, errors, data loss, unauthorized access, or security breaches;

  • Your reliance on any content, prompt, recommendation, or communication received through the Service.

Limitation Cap

Unless otherwise required by law, our total liability to you for any claim or cause of action shall not exceed the greater of:

  • $100 USD; or

  • The total amount you paid to Up4adate for premium features in the twelve (12) months prior to the event giving rise to the claim.

Local Law Exceptions

Some jurisdictions (including certain U.S. states and countries such as California, Quebec, the United Kingdom, and members of the European Economic Area) do not allow exclusions or limitations of certain warranties, liabilities, or damages.

Accordingly, some of the limitations set forth in this Section may not apply to you. In such cases, the liability of Up4adate Inc. and its affiliates will be limited to the fullest extent permitted by applicable law.

AI-Generated Features and Behavioral Insights

You acknowledge and agree that:

  • Up4adate may offer optional features that use automated systems — including AI — to suggest responses, complete prompts, or offer behavioral insights (such as conversation pacing or emotional tone).

  • These tools are informational only and do not constitute advice, truth guarantees, psychological assessments, or verified analysis.

  • We are not liable for decisions you make based on AI-generated content, interpretations of other users’ behavior, or any outcome related to emotional inference.

Use of AI-enhanced tools is voluntary and at your sole risk. You remain fully responsible for your actions, responses, and discretion on and off the platform.

11. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Up4adate Inc., its officers, directors, employees, affiliates, licensors, partners, service providers, and agents from and against any and all actual or threatened claims, liabilities, losses, damages, judgments, awards, costs, expenses, or legal fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your use or misuse of the Service;

  • Your violation of these Terms or any applicable laws or regulations;

  • Your content, including any data, media, or statements you post, upload, or transmit through the Service;

  • Your interactions with other users, whether on-platform or offline;

  • Your breach of any representations or warranties made under this Agreement;

  • Any harm or dispute involving a third party that stems from your conduct or communications on Up4adate.

This indemnification obligation does not apply to claims, investigations, or enforcement actions brought directly by a governmental or regulatory authority against Up4adate.

Up4adate reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you — and you agree to cooperate fully with such defense.

You may not settle any indemnified claim without Up4adate’s prior written consent unless it:
(i) includes a full release of Up4adate, and
(ii) does not impose any financial or reputational burden on Up4adate.

12. Dispute Resolution and Arbitration

We aim to resolve all concerns fairly and efficiently. If a dispute arises between you and Up4adate, we encourage you to first contact us at privacy@up4adate.com so we can attempt to resolve it informally.

a. Binding Individual Arbitration

Except where prohibited by law, you and Up4adate agree that any disputes, claims, or controversies arising out of or relating to these Terms, the Service, or your relationship with Up4adate (whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory) shall be resolved through final and binding individual arbitration, not in court.

  • Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

  • The arbitration will take place in Delaware, unless otherwise required by law or mutually agreed.

  • The arbitrator shall have exclusive authority to resolve any disputes regarding the scope, enforceability, or interpretation of this clause.

  • You and Up4adate waive the right to a jury trial.

b. Class Action Waiver

All claims must be brought individually. You and Up4adate agree that:

  • You may bring claims only in your individual capacity, and not as a plaintiff or class member in any class, collective, representative, or mass action;

  • No arbitration may be joined or consolidated with another user's arbitration.

If this provision is found unenforceable, the entirety of this arbitration section shall be null and void (except for informal resolution and venue clauses).

c. Mass Arbitration Protocol

If 25 or more similar arbitration demands are filed against Up4adate by the same counsel or coordinated group within a 60-day period:

  • The parties agree to batch the arbitrations into staged bellwether proceedings, beginning with up to 10 individual cases selected jointly.

  • Those initial arbitrations will proceed first. All others will be paused.

  • The outcome of these bellwether cases will inform resolution discussions for the remaining demands.

  • If no resolution is reached, another batch of up to 10 cases may proceed — and so on — until all are resolved or withdrawn.

This process is designed to promote fairness, reduce redundancy, and resolve disputes efficiently while preserving each party’s rights.

d. Exceptions to Arbitration

This arbitration agreement does not apply to:

  • Claims filed in small claims court (if within jurisdictional limits);

  • Claims involving intellectual property, misuse of trademarks, copyrights, or data scraping;

  • Situations where applicable law prohibits mandatory arbitration.

e. Right to Opt Out

You may opt out of arbitration within 30 days of first agreeing to these Terms by emailing us at app@up4adate.com with:

  • Your full name

  • The email or phone number associated with your account

  • A clear statement that you wish to opt out of arbitration

If you opt out, all disputes will be handled in accordance with Section 13: Governing Law and Jurisdiction.

Before initiating formal arbitration, we encourage you to contact us directly at app@up4adate.com so we may attempt to resolve your concerns informally and in good faith.

13. Governing Law and Jurisdiction

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.

You agree that, unless otherwise required by applicable law or as explicitly stated in Section 12 (Arbitration), any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you hereby submit to the personal jurisdiction of such courts and waive any objection based on inconvenient forum or lack of jurisdiction.

This jurisdiction clause does not override any rights you may have under mandatory consumer protection laws in your country or state of residence. If you are a resident of a jurisdiction (such as the European Economic Area, California, or Quebec) that requires local law to govern, then that local law shall apply to the extent required.

14. Modifications to These Terms

We may update or modify these Terms of Use from time to time to reflect changes in our Service, business practices, legal obligations, or for other operational reasons.

When we make material changes, we will:

  • Post the updated Terms on our website and in-app;

  • Update the “Effective Date” at the top of this document; and

  • Provide additional notice if required by law (such as via email or app notification).

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Service and delete your account.

We encourage you to review these Terms periodically to stay informed about your rights and responsibilities.

Subscription and Purchase Terms

Updates to these Terms may affect how we offer, renew, or price subscriptions or other paid features. Your ongoing subscription or use of premium features will be subject to the version of the Terms in effect at the time of renewal or continued use. If you disagree with any changes, you must cancel your subscription before the next billing cycle through your app store or payment provider.

Up4adate reserves the right to update or modify these Terms of Use at any time. Material changes will be communicated via the app or website in accordance with Section 14.

You are responsible for keeping your contact information current. If you fail to do so, delivery of notices to your last known email address will still constitute valid notice.

17. Survivability

The provisions of these Terms that by their nature should survive termination of your use of the Service shall survive, including but not limited to:

  • Ownership provisions

  • Warranty disclaimers

  • Indemnity obligations

  • Limitations of liability

  • Dispute resolution terms

  • Governing law and jurisdiction clauses
